A ministry spokesman, reached by telephone, declined to comment on the reorganization.

The establishment of the CTR has been approved by the State Council, China"s cabinet, and is being carried out by Commerce Minister Chen Deming, one source said.

"The government is keen to have a more efficient and focused way to deal with situations like trade disputes, and that"s why it has been approved to set up the CTR," the source said.

Once launched, the CTR will also work closely with China"s permanent mission to the World Trade Organisation (WTO) in Geneva, the source added.

At present, the commerce ministry has a number of overlapping departments such as the bureau of fair trade for imports and exports, and the office for trade negotiators that handles bilateral trade disputes as well as participation in multilateral bodies, including representing China in WTO negotiations and disputes.

The CTR will be headed by a vice-minister, said the sources.

China is facing rapidly growing trade disputes in sectors ranging widely from shoes to tires, in particular with major trading partners such as the United States and Europe.

Rising disquiet about Chinese trade policy in the United States could be magnified by broader tensions over Tibet and Taiwan and by U.S. Congressional elections later this year, political analysts say.

Washington is also likely to press more anti-dumping complaints against goods made in China in 2010.

The USTR is part of the U.S. executive branch and U.S. Trade Representative Ron Kirk reports directly to President Barack Obama and is a member of his cabinet.

The USTR is tasked with negotiating trade agreements and resolving trade disputes, including if necessary by filing cases at the WTO.

China"s commerce minister is keen to keep the CTR in his ministry, at least in the initial phase, said the sources.

However, other senior officials who are now competing for the top job in the CTR are lobbying top Chinese leaders to grant more power and make it a ministerial level appointment, they said.

Key lawmaker seeks to retard $1 billion Blackwater understanding

WASHINGTON (Reuters) - The Pentagon should consider blocking a potential $1 billion contract with the company formerly known as Blackwater to train Afghan police because of questions about its conduct in Afghanistan, a top U.S. senator said.

In letters to Defense Secretary Robert Gates and Attorney General Eric Holder, Senate Armed Services Committee Chairman Carl Levin said there was evidence of misconduct in a previous subcontract awarded to a Blackwater affiliate to conduct weapons training for the Afghan National Army.

There was evidence, the Democratic senator wrote, that Blackwater may have used a front company for the contract, made false official statements and misled Department of Defense officials in its proposal documents.

There was also evidence Blackwater may have misappropriated government weapons, carried weapons without authorization and hired unqualified personnel with backgrounds that included assault and battery, as well as drug and alcohol abuse, Levin said in the letter dated February 25.

Blackwater Worldwide has since changed its name to Xe.

Levin said the Pentagon should consider Blackwater"s past "deficiencies" in deciding whether to award the new contract worth as much as $1 billion to the company to provide Afghan national police training.

Training the country"s police force as well as the military is seen as key for U.S. forces to begin leaving Afghanistan from a target date of mid-2011.

The Pentagon had no immediate comment on the contracts involved.

"The department is required to follow the law with a certain degree of transparency with respect to awarding contracts," Pentagon spokesman Bryan Whitman said.

But he said: "I don"t know of any prohibitions with respect that particular company (being) banned from being able to compete for U.S. government contracts."

U.S. government contracts with Blackwater and its replacement firms have come under increasing scrutiny, especially following a 2007 shooting in Iraq by Blackwater security guards in which 14 civilians were killed.

A U.S. court last December threw out manslaughter charges against the Blackwater guards involved in that incident, a decision which outraged Iraq"s government.

"As you know, a series of incidents in Iraq ... led many to conclude that Blackwater was not a suitable contracting partner for the U.S. government and contributed to the company"s decision to change its name," Levin wrote to Gates.

"The inadequacies of Blackwater"s performance appear to have contributed to a shooting incident that has undermined our mission in Afghanistan," he added.

In January, two U.S. security contractors working for Paravant LLC, a unit of Xe, which was previously known as Blackwater Worldwide, were arrested in Afghanistan on charges they murdered two Afghans in Kabul and wounded a third.

North Carolina-based Xe could not immediately be reached for comment on Levin"s letters or allegations.

Vivendi beats forecasts discreet on 2010

PARIS (Reuters) - Vivendi, Europe"s largest entertainment group, sounded a cautious note on its profit outlook for this year despite posting better than expected results for 2009, boosted by its video games and telecoms units.

Chief Executive Jean-Bernard Levy said he expected "slight growth" on an adjusted operating profit basis this year, a change from the "strong growth" the group achieved last year.

"We are being reasonably conservative on our predictions for 2010," said Levy on a conference call. "There is still a lot of uncertainty on the economy and consumer demand remains a question mark in some countries."

The owner of Universal Music Group, the world"s biggest record company that competes with Sony and EMI, also said net profit for 2009 was dragged down by a 550 million-euro ($747 million) provision for possible damages in a U.S. class-action lawsuit.

Uncertainty about the case, and its eventual cost, have weighed on the shares since a January court decision.

Shares in Vivendi, which also has telecom operations in France, Morocco and Brazil, rose as much as 4 percent before retreating to trade up 1.5 percent at 18.77 euros at 1127 GMT.

"Expectations were low going into results and we therefore expect some bounce in the shares today," UBS analyst Polo Tang said in a note. "All divisions look broadly in line to be better."

Vivendi posted revenue up 6.9 percent last year at 27.13 billion euros while earnings, before interest, tax, and amortization increased 8.8 percent to 5.39 billion euros.

Twelve analysts polled by Reuters had expected 26.97 billion in revenue and 5.25 billion euros in EBITA.

CLASS ACTION SHADOW

Yet the shadow of the U.S. class-action lawsuit, in which shareholders won a case alleging that Vivendi misled them about the state of the group"s finances from 2000-2002 under previous CEO Jean-Marie Messier, caused a fourth-quarter net loss of 839 million euros..

"To the extent that Vivendi was found guilty by a jury, whatever we think of that verdict we must be prudent from an accounting point of view so we have made the provision," Levy said on a conference call with reporters.

"But the legal case will be long and complex and we have the strong hope that at the end of it all we will have nothing to pay out at all," he said.

Most analysts have already factored multi-billion euro damages for the lawsuit into financial models for Vivendi.

But the case remains a major uncertainty that analysts say is likely to continue to weigh on the stock this year, unless the company decides to settle before the appeal.

Levy said he would defend the interests of Vivendi"s current shareholders, adding that it was unfair for them to bear a big class-action payout that serves "only to enrich lawyers and a small number of shareholders from the contested period."

Vivendi"s telecom businesses -- it controls Morocco"s dominant telecom operator Maroc Telecom and SFR, France"s second-largest mobile operator -- performed well, with higher revenues than a year earlier and steady profits.

Revenue at SFR , which competes with France Telecom, were up 7.6 percent at 12.43 billion, while EBITA was roughly flat at 2.53 billion euros.

Video games were also a bright spot as sales were up almost 50 percent to 3 billion euros at Vivendi"s video game company Activision Blizzard, which owns World of Warcraft.

In contrast, Universal Music had a tough year, with sales down 6 percent to 4.36 billion euros and EBITA down about 16 percent at 580 million euros.
